These Terms & Conditions (“Terms”) apply to the supply of products, Modern Marquetry materials, bespoke goods, design services, fabrication services and associated services supplied by Stratum Marquetry Ltd (“Stratum Marquetry”, “we”, “us” or “our”).

By placing an order, accepting an estimation, paying a deposit or otherwise engaging us to provide products or services, you (“the Customer”, “you” or “your”) agree to these Terms.

Where you are purchasing for purposes wholly or mainly outside your trade, business, craft or profession, you are a consumer. Where you are purchasing for your business, trade or profession, you are a business customer. Certain provisions of these Terms apply differently depending on which type of customer you are.

Nothing in these Terms affects any statutory rights you may have as a consumer.

1. About Stratum Marquetry

Stratum Marquetry is a material manufacturer and design-led fabrication company specialising in distinctive patterned surfaces created using reclaimed and recycled materials.

Our materials and products may be supplied as finished products, architectural surfaces, components, panels or other fabricated forms, or may be incorporated into furniture, interiors and other applications.

We work with a variety of reclaimed, recycled and newly manufactured supporting materials. Because of the nature of our materials and manufacturing processes, no two pieces will necessarily be identical.

2. Products, Materials & Specifications

We take care to ensure that product descriptions, dimensions, images and specifications published on our website are accurate. However, photographs and digital representations cannot always accurately reproduce the colour, texture, depth or appearance of a physical material.

Where appropriate, we recommend that Customers request physical samples before placing an order, particularly where colour, texture or material compatibility is important to a project.

Reclaimed and recycled materials

Our patterned surfaces are made using reclaimed and recycled materials. The character of these materials is part of the nature and appeal of the product.

Individual pieces may therefore contain natural or existing variations, including differences in:

  • colour and tone;

  • grain, figuring and texture;

  • surface markings;

  • knots, inclusions or other natural characteristics;

  • previous signs of use;

  • small imperfections;

  • variation between batches or material sources; and

  • slight differences in the distribution or appearance of individual components.

These characteristics are not necessarily defects and should be considered part of the material's aesthetic character.

Where a project requires a highly consistent appearance, this should be discussed with us before an order is placed.

Material availability

Because we use reclaimed and recycled materials, the availability of particular materials, colours or components may change over time.

Where a particular reclaimed material has been selected for a project, we will make reasonable efforts to secure sufficient material. However, we cannot guarantee the continued availability of any particular reclaimed source.

Where a selected material becomes unavailable or unsuitable, we will discuss reasonable alternatives with the Customer.

3. Samples, Colours & Approvals

Samples are intended to demonstrate the general appearance, material combination and manufacturing quality of a product or surface.

A sample should not be taken as a guarantee that every subsequent piece will be an exact visual match.

Where a project involves bespoke material selection, pattern development or colour combinations, the Customer may be asked to approve drawings, renders, samples, prototypes or other design information before manufacture begins.

Once a design, sample, specification or drawing has been approved, any subsequent changes requested by the Customer may constitute a variation and may result in additional costs and changes to the agreed programme.

4. Orders & Acceptance

An order becomes binding once it has been accepted by Stratum Marquetry.

For standard products, acceptance will generally take place when we confirm the order.

For bespoke projects, acceptance will generally take place when the Customer accepts our estimation or quotation and pays the required deposit.

We reserve the right to decline an order where we are unable to fulfil it for reasons including material availability, technical limitations, capacity or other reasonable circumstances.

5. Bespoke Projects

Bespoke projects may include consultation, design, material development, pattern development, prototyping, fabrication, delivery and installation.

The precise scope of each project will be set out in the relevant estimation, quotation, proposal or other written agreement.

Unless expressly included in writing, our price does not include work or services outside the agreed scope.

This may include, for example:

  • building works;

  • electrical or plumbing works;

  • structural alterations;

  • preparation of walls, floors or ceilings;

  • removal or disposal of existing furniture;

  • specialist surveys;

  • planning, Building Control or other statutory approvals;

  • specialist certification;

  • works by other contractors; or

  • rectification of pre-existing site conditions.

Where additional work becomes necessary, we will discuss this with the Customer before carrying it out wherever reasonably practicable.

6. Estimates, Quotations & Variations

Unless expressly stated otherwise, an estimation is an indicative assessment of the likely cost of a project based on the information available at the time.

An estimation may change during the design and development process as the scope, materials, dimensions, specification or technical requirements become clearer.

Where a fixed quotation is provided, the quotation will be based on the scope and assumptions stated within it.

Any requested changes to the agreed scope may affect the price and/or programme.

We will communicate material variations to the Customer and, where reasonably practicable, obtain approval before proceeding with additional chargeable work.

7. Design Process & Approvals

Where Stratum Marquetry is responsible for design work, the Customer is responsible for reviewing and approving the designs, drawings, specifications, material selections and other information provided to them.

We will use reasonable care and skill in preparing our designs and technical information.

Once the Customer has approved a design or specification, we will manufacture in accordance with the approved information.

The Customer is responsible for ensuring that the proposed use, location and application of the product is suitable for their intended purpose unless Stratum Marquetry has expressly agreed in writing to provide professional advice or design responsibility for that particular application.

For commercial, public, institutional or regulated projects, responsibility for obtaining approvals, certifications and sign-off from relevant third parties rests with the Customer unless Stratum Marquetry has expressly agreed in writing to undertake those responsibilities.

8. Intellectual Property

All intellectual property rights belonging to Stratum Marquetry remain our property unless expressly transferred in writing.

This includes, but is not limited to:

  • Surface patterns;

  • surface designs;

  • drawings;

  • CAD files;

  • technical drawings;

  • renders;

  • prototypes;

  • material compositions;

  • manufacturing methods;

  • processes;

  • product concepts; and

  • other original design work created by Stratum Marquetry.

Payment for a product, material or design service does not automatically transfer ownership of the intellectual property used to create it.

Surface patterns

Where we create a new surface pattern or surface design specifically for a Customer or project, the Customer receives the right to use that pattern as incorporated into the completed product or project.

Unless expressly agreed otherwise in writing, ownership of the underlying design and associated intellectual property remains with Stratum Marquetry.

We reserve the right to reuse, adapt, reproduce, manufacture and commercialise patterns and design elements created during a project, including for future products, projects, collaborations, exhibitions and marketing.

If a Customer requires exclusive ownership or exclusive use of a particular design, this must be expressly agreed in writing and may be subject to an additional fee.

9. Pricing

Prices are those stated in our quotation, estimation, order confirmation or on our website at the time of purchase, as applicable.

Unless expressly stated otherwise, prices exclude delivery, installation and any additional services or works not included within the stated scope.

For business customers, prices are exclusive of VAT where applicable unless otherwise stated.

Stratum Marquetry reserves the right to correct obvious pricing or typographical errors before an order is accepted.

For bespoke projects, changes to the agreed specification may result in changes to the final price.

10. Payment

Payment terms will be set out in the relevant quotation, estimation, invoice or order confirmation.

For bespoke projects, a deposit may be required before design or fabrication work begins.

Additional staged payments may be required as agreed within the project proposal or estimation.

Unless otherwise agreed in writing, the final balance is payable before or upon completion and/or installation.

We reserve the right to pause work where an agreed payment has not been received.

Ownership of physical goods supplied by Stratum Marquetry will remain with Stratum Marquetry until full payment has been received.

11. Cancellation of Bespoke Projects

Where a Customer cancels a bespoke project after work has commenced, Stratum Marquetry may charge for work already completed and costs reasonably incurred up to the date of cancellation.

This may include design work, material purchases, prototypes, fabrication, subcontracted work and other committed project costs.

Any refund or balance due will be calculated having regard to the work completed and costs reasonably incurred.

For consumer customers, cancellation provisions will always be subject to applicable statutory rights.

12. Consumer Cancellation Rights

If you are a consumer purchasing goods online or by another distance method, you may have a statutory right to cancel your purchase within 14 days of receiving the goods.

However, certain goods are excluded from this right, including goods made to the consumer's specifications or clearly personalised.

Whether a product is considered bespoke for these purposes depends on the nature of the product and the circumstances of the order. Simply selecting from a standard range of options does not necessarily make a product bespoke.

Where a statutory cancellation right applies, we will provide the required information regarding how to exercise that right.

Nothing in these Terms affects your statutory rights.

13. Delivery

We will provide an estimated delivery or completion timeframe where possible.

Delivery dates are estimates unless a specific date has been expressly agreed in writing.

We will not be responsible for delays caused by circumstances outside our reasonable control or by matters for which the Customer or another contractor is responsible.

For bespoke projects, delays may occur where we are awaiting information, approvals, access, payments or decisions from the Customer or other parties involved in the project.

Where a delivery or installation is included, the Customer must ensure that reasonable access is available at the agreed time.

Additional costs caused by failed delivery, restricted access, parking restrictions, inadequate access, waiting time or return visits may be chargeable where these circumstances are outside our control.

14. Installation & Site Conditions

Where Stratum Marquetry provides installation services, the Customer must provide a suitable and reasonably accessible site.

The Customer is responsible for notifying us of any known site restrictions, access limitations, structural issues, services, hazards or other conditions that may affect the installation.

We may require a site visit or survey before installation.

Where site conditions differ materially from those reasonably anticipated when the quotation was prepared, additional work or costs may arise.

We will discuss significant additional work with the Customer before proceeding wherever reasonably practicable.

15. Use, Suitability & Specification

Our products and materials must be used only for applications for which they have been specified or reasonably intended.

Where Stratum Marquetry supplies material to a designer, architect, manufacturer, maker or other professional customer for incorporation into another product or installation, the Customer is responsible for satisfying themselves that the material is suitable for the proposed application unless Stratum Marquetry has expressly accepted responsibility for that assessment in writing.

This includes consideration of factors such as:

  • structural requirements;

  • load;

  • impact;

  • moisture;

  • heat;

  • humidity;

  • UV exposure;

  • chemicals and cleaning products;

  • fire performance;

  • slip resistance;

  • dimensional movement;

  • fixing methods; and

  • relevant building, regulatory or industry requirements.

Where a particular certification, test, performance specification or technical approval is required, this must be agreed with us before manufacture.

16. Natural & Material Movement

Many of our products incorporate timber and other materials that can respond to changes in temperature and humidity.

Small changes in dimensions, surface appearance, colour or texture may occur over time.

This may include movement, minor changes in colour, surface development or other natural changes associated with the materials used.

These characteristics do not necessarily constitute defects.

Products must be stored, transported and installed in suitable environmental conditions and in accordance with any care or installation guidance supplied by us.

17. Care & Maintenance

The Customer is responsible for following any care, maintenance, storage and installation instructions supplied with the product.

Damage caused by inappropriate use, unsuitable cleaning products, excessive moisture, excessive heat, prolonged exposure to unsuitable environmental conditions, neglect, modification or misuse may not be covered by our guarantee.

Where a product is incorporated into another product or installation by a third party, the Customer should ensure that the finished installation is appropriately protected and maintained.

18. Product Warranty & Material Defects

The warranty or protection that applies to a product or material supplied by Stratum Marquetry depends on the nature of the purchase and the Customer's intended use.

Finished Stratum Marquetry products

Where Stratum Marquetry supplies a completed product directly to a Customer, we provide a Product Warranty covering defects arising from our workmanship or from defects in the materials used in its manufacture, subject to the terms of the applicable warranty.

The Product Warranty applies only to the Stratum Marquetry product supplied and does not extend to other products, components, structures or installations into which that product may subsequently be incorporated.

The Product Warranty does not cover damage or failure caused by misuse, neglect, accidental or deliberate damage, improper installation, unauthorised modification or repair, unsuitable environmental conditions, failure to follow care instructions, normal wear and tear, or use outside the product's intended application.

The Product Warranty is additional to, and does not replace, any statutory rights available to consumers.

Material supplied to trade customers

Where Stratum Marquetry supplies material, panels, components or other material products to a trade customer for incorporation into another product, piece of furniture, interior, architectural application or manufactured item, our responsibility is limited to the material supplied by us.

We warrant that, at the time of supply, the material will be manufactured substantially in accordance with the agreed specification and will be free from material defects in workmanship or manufacture.

This does not constitute a warranty or guarantee of the performance, durability, structural integrity or suitability of the Customer's finished product or installation.

The trade Customer is responsible for determining the suitability of our material for its intended application and for the design, engineering, fabrication, finishing, installation and subsequent use of the finished product, unless Stratum Marquetry has expressly accepted responsibility for a particular aspect of the application in writing.

This includes responsibility for ensuring that the material is used in accordance with any technical information, limitations, handling requirements, installation guidance or application guidance provided by Stratum Marquetry.

Material defects

If a trade Customer believes that material supplied by Stratum Marquetry contains a manufacturing defect, they must notify us within a reasonable period after discovering the issue and provide sufficient information, including photographs or samples where appropriate, to allow us to assess the claim.

Where a material defect attributable to Stratum Marquetry is confirmed, our remedy may, at our reasonable discretion, include:

  • repair of the affected material;

  • replacement of the affected material;

  • supply of an equivalent or reasonably suitable alternative; or

  • refund of the price paid for the affected material.

Where replacement material is supplied, exact colour, grain, reclaimed material character or pattern matching cannot always be guaranteed, particularly where the original material incorporated reclaimed or recycled components that are no longer available.

We will not be responsible for defects, damage or failure arising after supply from inappropriate storage, handling, machining, fabrication, finishing, installation, environmental conditions, misuse, modification or any other process carried out by the Customer or a third party.

Incorporation into third-party products

Where our material is incorporated into a product manufactured, supplied or installed by another business, Stratum Marquetry's warranty or material-defect obligations apply only to the material supplied by us.

We do not warrant or guarantee the finished third-party product, including its construction, structural integrity, performance, durability, installation or suitability for its intended use.

Any warranty or guarantee offered by the Customer to its own customer in relation to the finished product is the responsibility of that Customer and does not create any additional warranty obligation on the part of Stratum Marquetry.

Where a defect in our material contributes to a failure in a finished product, we will assess the matter and, where appropriate, work with the Customer to determine a reasonable remedy relating to the material supplied by us.

Nothing in this section limits or excludes any liability or statutory rights that cannot legally be limited or excluded.

19. Repairs & Aftercare

If a product requires repair or maintenance, please contact us before carrying out any repair or modification.

Where the issue is covered by our guarantee or statutory rights, we will discuss the appropriate remedy with you.

Where a repair is required as a result of accidental damage, misuse, wear and tear or another matter outside our guarantee, we may provide an estimate for the cost of repair.

Because our products may incorporate reclaimed and recycled materials, exact replacement components may not always be available.

Where an exact replacement is not possible, we will use reasonable efforts to provide an appropriate alternative that is sympathetic to the original design.

Where replacement involves machining, material selection or the recreation of a Modern Marquetry pattern, an exact colour, grain or pattern match cannot always be guaranteed.

20. Complaints

We take pride in the quality of our materials, products and services.

Please provide your order or project details and, where appropriate, photographs showing the issue.

We aim to acknowledge complaints promptly and respond within 5 working days.

Where appropriate, we may ask to inspect the product or visit the site before determining the appropriate remedy.

Nothing in this section limits any statutory rights available to consumers.

21. Third-Party Products

Where we supply products manufactured by another company, such as appliances, hardware, fittings or other third-party goods, those products remain subject to the manufacturer's own terms and warranty where applicable.

We will provide relevant product information where reasonably available.

Where appropriate, the Customer may need to deal directly with the manufacturer in relation to a manufacturer's warranty.

This does not affect any statutory rights the Customer may have against Stratum Marquetry.

22. Subcontractors & Specialist Contractors

We may use trusted subcontractors, manufacturers, installers or specialist contractors to assist with the delivery of a project.

Where Stratum Marquetry has contracted with the Customer to provide the relevant product or service, we remain responsible for our contractual obligations to the Customer, subject to these Terms.

Where the Customer separately appoints another contractor or supplier, Stratum Marquetry is not responsible for that third party's work.

23. Photography & Marketing

We may photograph or record products, materials and completed projects for our portfolio, website, social media, exhibitions, publications and other marketing purposes.

Where a project is private, commercially sensitive or subject to confidentiality requirements, the Customer should notify us in writing before completion.

We will respect reasonable confidentiality requirements agreed with the Customer.

We will not intentionally disclose confidential information or personal information without appropriate consent or another lawful basis.

24. Force Majeure

We will not be liable for failure or delay in performing our obligations where this results from circumstances beyond our reasonable control.

Such circumstances may include, but are not limited to:

  • extreme weather;

  • fire;

  • flood;

  • natural disasters;

  • interruption to utilities;

  • transport disruption;

  • supplier failure;

  • material shortages;

  • labour shortages;

  • industrial disputes;

  • government restrictions;

  • national emergencies; or

  • other events outside our reasonable control.

Where such circumstances occur, we will use reasonable efforts to minimise the impact and will communicate material delays to the Customer.

25. Liability

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

In particular, nothing in these Terms limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability which cannot legally be limited or excluded.

For consumer customers, nothing in these Terms limits or removes your statutory rights.

For business customers, our liability will be limited to the extent permitted by law and, where appropriate, as expressly agreed in the relevant quotation or contract.

26. Business Customers

Where you are purchasing from us in the course of your business, you confirm that you are purchasing for business purposes and not as a consumer.

Business customers are responsible for ensuring that products and materials supplied by Stratum Marquetry are suitable for their intended application unless we have expressly accepted responsibility for that assessment in writing.

Where our material is supplied to a business customer for incorporation into another product, the business customer is responsible for the design, engineering, testing, certification and final suitability of the finished product unless otherwise agreed in writing.

Any project-specific commercial terms contained in an accepted quotation or estimation will take precedence over these general Terms where there is a conflict.

27. Consumer Rights

If you are a consumer, you have legal rights in relation to goods and services supplied by us.

Goods supplied to consumers must meet the applicable legal requirements, including being as described, of satisfactory quality and fit for purpose where applicable.

Services must be provided with reasonable care and skill.

These rights apply regardless of whether we provide an additional warranty or guarantee.

Nothing in these Terms is intended to restrict or remove those rights.

28. Changes to These Terms

We may update these Terms from time to time to reflect changes to our business, products or legal requirements.

The Terms applying to an order will generally be those in force and provided to the Customer at the time the order is accepted, unless a later change is required by law.

29. Governing Law

These Terms are governed by the laws of England and Wales.

If you are a consumer, you will also benefit from any mandatory protections provided by the law applicable to you.

The courts of England and Wales will have jurisdiction over disputes, subject to any mandatory rights you may have as a consumer to bring proceedings elsewhere.
